1. Overview

These Terms of Service govern your access to and use of cogten.com and any related services, features, content, products, and functionality offered through the COGTEN store.

COGTEN is a brand operated by: BoogieBoy sp. z o.o., ul. Zacisze 5, 43-300 Bielsko-Biala, Poland.

The COGTEN store is powered by Shopify.

By accessing or using our Services, placing an order, or otherwise interacting with cogten.com, you agree to these Terms and any policies incorporated into them, including our Privacy Policy, Shipping Policy, Return & Refund Policy, and Legal & Health Disclaimer.

Nothing in these Terms is intended to limit any consumer right or remedy that cannot legally be waived or restricted.

2. Eligibility and Account Information

You must have the legal capacity to enter into a binding transaction under the laws applicable to you. When placing an order or creating an account, you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for activity conducted through your account to the extent permitted by applicable law.

3. Products

We make reasonable efforts to display and describe our products accurately. However, packaging, labels, colors, appearance, product images, and other product characteristics may occasionally differ from those displayed on our website. Customers should always review the actual product label, Supplement Facts panel, ingredient list, directions, warnings, and other information provided with the product before use.

4. Dietary Supplements and Health Information

Certain products offered by COGTEN are dietary supplements. Information provided through the Services is intended for general informational and educational purposes and is not a substitute for professional medical advice, diagnosis, or treatment. 5. Orders

Submitting an order constitutes an offer to purchase products under these Terms. An automated order confirmation does not necessarily constitute final acceptance of an order. We may decline or cancel an order where reasonably necessary, including because of payment authorization failure, suspected fraud, inventory or fulfillment errors, material pricing or product-information errors, regulatory or shipping restrictions, or abuse of promotional offers. If we cancel an order after payment has been collected and the affected products have not been shipped, we will refund the applicable amount in accordance with applicable law.

6. Prices, Taxes, and Payment

Prices displayed on the website are shown in the currency indicated during checkout. Applicable taxes, shipping charges, and other charges will be disclosed before completion of the transaction where required by law. We may change prices prospectively at any time. You represent that you are authorized to use the payment method submitted with your order.

7. Errors and Inaccuracies

We may correct typographical, technical, pricing, inventory, product-information, or other unintentional errors appearing on the Services. Where an obvious material error affects an order, we may contact you and provide the option to proceed with the corrected information or cancel the affected order and receive an applicable refund.

8. Shipping and Delivery

Shipping and delivery are governed by our Shipping Policy. We make reasonable efforts to process and ship orders within the time communicated to customers. Delivery dates and carrier transit times may be estimates rather than guarantees unless expressly stated otherwise. If we cannot ship merchandise within the time originally represented, we will address the delay in accordance with applicable law and our Shipping Policy.

9. Returns, Refunds, and Order Issues

Returns, refunds, replacements, damaged products, incorrect items, missing items, and related claims are governed by our Return & Refund Policy. Nothing in that policy or these Terms limits any refund, replacement, warranty, chargeback, or consumer remedy that cannot legally be waived.

10. Subscriptions

If COGTEN offers subscription products or recurring purchase programs, applicable terms including billing frequency, price, renewal terms, and cancellation options will be disclosed before enrollment. Customers may cancel subscriptions using the cancellation method made available by COGTEN, subject to any applicable processing deadlines clearly disclosed before enrollment.

11. Promotions and Discount Codes

Promotions, discount codes, bundles, gifts, and special offers may be subject to separate eligibility requirements and conditions. Unless otherwise expressly stated, promotions may not be combined, discount codes have no cash value, eligibility may be limited, and promotions may be modified or discontinued prospectively.

12. Intellectual Property

The Services and their original content, including COGTEN branding, logos, text, graphics, photographs, product imagery, videos, design elements, and other proprietary materials, are owned by or licensed to COGTEN and are protected by applicable intellectual property laws. You may use the Services for lawful, personal, non-commercial purposes only.

13. Reviews, Feedback, and User Content

If you voluntarily submit a review, testimonial, photograph, comment, suggestion, or other content, you grant COGTEN a non-exclusive, worldwide, royalty-free license to use, reproduce, display, distribute, and reasonably adapt that content for legitimate business and marketing purposes, subject to applicable law. COGTEN does not prohibit or penalize consumers for posting honest reviews or opinions, including negative reviews.

14. Prohibited Uses

You may not use the Services to violate applicable law, commit fraud, impersonate another person or entity, interfere with the security or operation of the Services, introduce malware or harmful code, attempt unauthorized access to systems or accounts, misuse payment or customer information, infringe intellectual property rights, or engage in automated access or scraping in violation of applicable law.

The Services may contain links to or integrations with third-party websites, platforms, and service providers, including Shopify, payment processors, fulfillment providers, carriers, analytics providers, and marketing platforms. Third-party services may be governed by their own terms, policies, and privacy practices. COGTEN is not responsible for the independent acts or omissions of third parties outside our reasonable control.

16. Shopify

The COGTEN store is powered by Shopify, which provides ecommerce infrastructure used to operate the Services. Purchases made through the COGTEN store are transactions between the customer and COGTEN, not Shopify.

17. Privacy

Our collection, use, disclosure, and other processing of personal information are governed by our Privacy Policy, which forms part of these Terms where applicable.

18. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the website and its digital functionality are provided on an as available basis. We do not guarantee that the website will always be uninterrupted, error-free, or continuously available. Nothing in these Terms excludes warranties that cannot legally be disclaimed, rights relating to defective or materially misrepresented products, liability for fraud or intentional misconduct, mandatory product liability obligations, or mandatory consumer protection rights.

19. Limitation of Liability

To the fullest extent permitted by applicable law, COGTEN will not be liable for indirect, incidental, special, exemplary, or consequential losses that were not reasonably foreseeable and that arise from circumstances outside COGTEN's legally attributable responsibility. Nothing in these Terms limits or excludes liability where such limitation or exclusion is prohibited by applicable law.

20. Indemnification

To the extent permitted by applicable law, you agree to be responsible for losses or third-party claims reasonably resulting from your unlawful use of the Services, your material breach of these Terms, your infringement of third-party rights, or fraudulent, malicious, or intentionally harmful conduct by you.

21. Fraud, Abuse, and Security

We may review or investigate orders and activity where we reasonably suspect fraudulent payments, identity theft, unauthorized payment use, promotion abuse, refund abuse, chargeback fraud, account misuse, or commercial resale contrary to applicable purchase restrictions. Where reasonably justified, we may suspend, restrict, or cancel affected orders or accounts.

22. Suspension and Termination

We may suspend or terminate access to an account or the Services where reasonably necessary because of a material violation of these Terms, fraud, unlawful activity, security threats, or material misuse of COGTEN systems. Termination does not eliminate obligations, liabilities, or rights arising before termination.

We may update, modify, suspend, or discontinue features or portions of the Services for legitimate business, security, technical, legal, or operational reasons. Where a change materially affects an existing paid obligation, subscription, or mandatory consumer right, we will provide any notice, consent mechanism, refund, or other remedy required by applicable law.

We may update these Terms from time to time. The current version will be posted on cogten.com together with the date of the latest revision. Where applicable law requires additional notice or consent before a material change becomes effective, we will take the required steps.

25. Governing Law

These Terms are governed by the laws applicable to BoogieBoy sp. z o.o., subject to mandatory consumer protection laws that apply to you and cannot validly be excluded or waived by contract.

26. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent legally permitted or severed where necessary. The remaining provisions will continue in full force and effect.

27. No Waiver

Failure by COGTEN to exercise or enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

28. Entire Agreement

These Terms, together with any policies expressly incorporated by reference, constitute the agreement governing your use of the Services and purchases through cogten.com, subject to applicable law.

29. Assignment

You may not assign your contractual rights or obligations under these Terms where doing so would materially affect COGTEN without our prior consent, except where applicable law provides otherwise. COGTEN may assign its rights and obligations in connection with a legitimate merger, acquisition, corporate restructuring, sale, or transfer of the business or relevant assets, subject to applicable law and without reducing mandatory consumer rights.

30. Consumer Rights

Nothing in these Terms is intended to exclude, restrict, waive, or reduce any consumer protection, product liability, warranty, refund, privacy, or other legal right or remedy that cannot lawfully be excluded, restricted, waived, or reduced.
